Gefran conquers Brazil: Novus acquired for €35.8 million

Provaglio d’Iseo. Gefran is accelerating its international expansion and looking to Brazil to reinforce its growth strategy. The company from Provaglio d’Iseo (Brescia) has signed an agreement to acquire the entire share capital of Novuspar Participações Societárias Ltda., the holding company of Novus, a Brazilian firm active in industrial automation solutions.

The deal values Novus at an enterprise value of 215 million Brazilian reais, equivalent to about €35.8 million. Completion is expected within 180 days of signing, subject to standard closing conditions. The acquisition will be carried out through Gefran Brasil and financed with the group’s available resources, supplemented by new bank credit lines.

Based in the state of Rio Grande do Sul, Novus develops and manufactures process controllers, sensors, transmitters, data loggers, data‑acquisition systems and Industrial IoT solutions. Its products are used across multiple sectors, from food and pharmaceuticals to energy, infrastructure and manufacturing.

As of 31 December 2025, the Brazilian group employed around 230 people and generated 98.6 million reais in revenue (about €16.4 million), with an EBITDA of 20.4 million reais (around €3.4 million). Net financial position was positive at 7.2 million reais, while equity amounted to 79 million reais.

For Gefran, the acquisition is a strategic step to consolidate its presence in Brazil and, more broadly, in Latin America, a market considered highly promising for the development of industrial automation. The Brescia‑based group is already present in the country through its own subsidiary and will now be able to integrate Novus’s technologies into its offering.

The combination of the two companies will make it possible to expand the portfolio with controllers, recorders, data‑acquisition systems, transmitters and software/cloud platforms, alongside Gefran’s established expertise in sensors and automation. The goal is to create a fully integrated offering across the entire industrial‑digitalization process, from data collection to management through connected applications and Industrial IoT.

According to the group’s estimates, long‑term synergies will come mainly from cross‑selling, industrial optimization, integration of local operational structures and streamlining of research and development activities.
